1. Purpose of this statement

This Risk Disclosure Statement is provided by SGCPAY (AUS) LIMITED (ABN 61 662 299 434) ("SGCPAY", "we", "us" or "our") to help you understand the general risks associated with using financial and digital-asset services. It is not exhaustive and does not constitute financial, investment, legal, or tax advice.

You should read this statement together with our Terms and Conditions, our Digital Asset Risk Warning, and any product-specific information before using our services. If you do not understand any of the risks described, you should seek independent professional advice before proceeding.

2. General nature of risk

All financial products and services carry risk. The value of assets can fall as well as rise, past performance is not a reliable indicator of future results, and you may lose some or all of the funds you commit. You should only use services and commit funds that are appropriate to your financial circumstances and risk tolerance.

You are responsible for your own decisions. We do not assess whether a particular product or transaction is suitable or appropriate for you unless we expressly tell you that we do so as part of a specific, authorised service.

3. Market and volatility risk

Prices of currencies, digital assets, and other instruments can move rapidly and unpredictably in response to economic, political, market, and other factors. Volatility can be significant, particularly for digital assets, and can result in substantial losses over short periods.

Liquidity may vary, and in stressed market conditions it may be difficult or impossible to execute a transaction at an expected price, or at all.

4. Digital-asset risk

Digital assets carry particular risks, including extreme price volatility, the potential for total loss of value, the irreversibility of on-chain transactions, network and protocol risks, and the evolving nature of the regulatory environment. These risks are described in more detail in our Digital Asset Risk Warning, which you should read carefully.

The loss, theft, or compromise of credentials or private keys can result in the permanent loss of digital assets. You are responsible for safeguarding your own access credentials.

5. Foreign exchange and cross-border risk

Where a transaction involves more than one currency, you are exposed to exchange-rate movements between the time a transaction is initiated and the time it settles. Cross-border payments may also be affected by intermediary institutions, differing settlement times, and local regulations.

Exchange rates and any associated margins or fees that apply to currency conversion will be disclosed in accordance with our Fees and Charges document or confirmed before you proceed with a chargeable service.

6. Operational, technology, and settlement risk

Our services depend on technology, communications networks, and third-party systems, all of which can experience delays, interruptions, or failures. Payment instructions, blockchain confirmations, API messages, and internal ledger records do not by themselves guarantee final settlement, which occurs only when funds are confirmed as cleared and available through the relevant financial institution or network.

You should not rely on the availability of any service at a particular time, and you should plan for the possibility of delay or unavailability.

7. Counterparty and third-party risk

Some services are provided through banking partners, card issuers, and other third parties. The performance of those services depends in part on the performance and solvency of those parties. While we take reasonable care in selecting partners, we cannot eliminate counterparty risk.

The way in which customer funds are held, and the protections that apply, depend on the specific product and partner arrangements, as described in our Customer Funds and Safeguarding statement.

8. Regulatory and legal risk

The legal and regulatory treatment of payments, digital assets, and related services continues to evolve and varies between jurisdictions. Changes in law or regulation, or in how existing law is applied, may affect the availability, cost, or characteristics of a service, and may do so at short notice.

Some services described on our website are subject to further regulatory approval, eligibility, and regional availability, and may not be available to you.

9. No advice and your responsibility

Unless we expressly agree otherwise in writing, we do not provide personal financial, investment, legal, or tax advice, and nothing on our website or in our communications should be taken as such advice. Any general information we provide is for information only.

You are responsible for assessing the risks of any product or transaction in light of your own circumstances and for seeking independent professional advice where appropriate. If you have questions about the risks described here, you can contact us via the contact form on our website.
